Terms of Service

Thanks for using Cordatus! These Terms of Service ("Terms") describe our commitments to you and your rights and responsibilities when using the Cordatus platform. Please read them carefully. The short version at the start of each section is a plain-language summary — it is not a substitute for the full text below it.

The Services are provided by Cordatus B.V., a company registered in the Netherlands (KvK No. 42058021), High Tech Campus 9, 5656 AE Eindhoven, The Netherlands ("Cordatus", "we", "us").

By creating an account, activating a licence, installing the Cordatus client, or otherwise using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you are authorized to bind it.

1. The Services

Short version: Cordatus is a hybrid cloud + edge platform for deploying and managing AI/computer-vision workloads on edge devices. We may update or change features at any time.

Cordatus lets you register and remotely manage edge devices (e.g. NVIDIA Jetson, x86-64 Linux, Windows); deploy containerized workloads and AI inference jobs; pull and deploy AI models from third-party registries; connect IP cameras and run video streaming, recording, and object detection/analytics; establish Remote Access Tunnels (RAT); and manage users, organizations, roles, and licences. We may improve, change, or discontinue features and may automatically update the Services (including the edge client); these Terms apply to all updates.

2. Your Account

Short version: Keep your details accurate and your credentials secure. You are responsible for activity under your account.

You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for all activity under your account and for keeping your credentials, API keys, and access tokens secure. Notify us promptly at support@cordatus.ai of any unauthorized use or security breach. We are not liable for losses arising from your failure to safeguard your account.

3. Eligibility

Short version: The Services are for business/professional use; you must be 18 or older.

The Services are intended for business and professional use. You must be at least 18 years old, or the age of majority in your jurisdiction. The Services are not directed to children.

4. Licences, Device Slots, and Plans

Short version: Your plan and licence scopes determine what you can do. Each licence covers a limited number of device slots. Don't tamper with licensing.

4.1 Licences and device slots. Access to features is governed by your licence tier (e.g. Free, Professional, Enterprise) and the scopes assigned to it. Each licence permits activation on a limited number of devices ("device slots"). Once assigned to a slot, a licence may not be reassigned until the device is removed, subject to your plan limits.

4.2 Licence keys. Licence and activation keys are for use only with your own authorized devices. You must not share, resell (except under an authorized reseller agreement), circumvent, tamper with, or reverse engineer any licensing or activation mechanism.

4.3 On-premise / air-gapped deployments. Where a deployment does not use a given cloud-hosted component (e.g. cloud storage, cloud analytics, remote tunnels), the Terms relating to that component do not apply to that deployment, but all other Terms continue to apply.

5. Reseller and Partner Terms

Short version: Authorized resellers are also bound by their separate partner agreement and may not access other resellers' or customers' data.

If Cordatus has authorized you as a reseller or distribution partner, your use of licence pools, activation-key generation, and distribution is additionally governed by your separate reseller/partner agreement, which controls for those activities in the event of a conflict. Resellers must not access the data of other resellers or of end customers except as strictly necessary to perform authorized distribution functions.

6. Fees, Payment, and Renewal

Short version: Paid plans renew automatically until you cancel. You're responsible for taxes. Refunds are at our discretion unless the law says otherwise.

6.1 Paid Services. By purchasing a paid Service you agree to pay all applicable fees. 6.2 Taxes. Fees are exclusive of taxes; you are responsible for all such taxes except taxes on our net income. 6.3 Automatic renewal. Subscriptions renew automatically for the same period unless cancelled before the end of the current term; you authorize us to charge your payment method for renewals and taxes. 6.4 Payment failure. If payment fails or is reversed, we may suspend or revoke access. 6.5 Fee changes. We may change fees prospectively, with advance notice where required. 6.6 Refunds. Except where required by law, fees are non-refundable and refunds are at our discretion.

7. Acceptable Use

Short version: Use the Services lawfully. No unlawful surveillance or processing of people's video/biometric data without a legal basis.

You must use the Services lawfully and responsibly. Among other things, you must not use the Services: for unlawful surveillance; to capture, record, or analyze video or biometric data of individuals without a valid legal basis and required notices/consents; to deploy AI analytics for unlawful discrimination or profiling; to infringe others' rights; to circumvent licensing, device slots, or scope enforcement; to reverse engineer the Services; to introduce malware; or to interfere with, overload, or attack the Services or any network or device. Remote Access Tunnels must be used only to reach your own authorized environments and devices.

8. Your Content and Data

Short version: You own your data, including video and inference outputs. For camera data about people, you are the controller and we are your processor.

8.1 Your data. As between you and Cordatus, you retain all rights in the data you provide or generate ("Your Data"), including video recordings, camera streams, model inputs/outputs, and inference logs. We do not claim ownership. 8.2 Licence to us. You grant us a limited licence to host, process, transmit, and display Your Data solely to provide, secure, and support the Services, as described in our Privacy Policy. 8.3 Camera/video responsibility. You are solely responsible for ensuring your use of cameras, recording, and analytics complies with applicable law. Where we process personal data of individuals captured by your cameras, you act as controller and Cordatus as processor, under a Data Processing Agreement.

9. Third-Party Services and AI Models

Short version: Third-party models and services have their own licences; you must comply with them.

The Services integrate with third parties (e.g. NVIDIA NGC, Hugging Face, Docker registries, cloud storage, payment providers). Your use of any third-party content, model, or service is subject to that third party's terms and licences (including open-source and model-specific obligations such as attribution or use restrictions), and you are responsible for complying with them. We are not responsible for third-party services or models.

10. AI / Inference Disclaimer

Short version: AI results can be wrong. Don't rely on them alone for important decisions.

AI inference and computer-vision results (including object detection, classification, and analytics) are probabilistic and may be inaccurate or incomplete, and may produce false positives or false negatives. You must not rely on the Services as the sole basis for decisions affecting health, safety, legal rights, or other significant interests, and you are responsible for appropriate human review.

11. Intellectual Property

Short version: We keep our IP and trademarks; you only get the limited rights in these Terms.

The Services, including all software, trademarks, logos, and content we provide, are owned by Cordatus or its licensors. Except for the limited rights expressly granted, these Terms transfer no rights in our intellectual property. "Cordatus" and the Cordatus logo are trademarks of Cordatus B.V.

12. Suspension and Termination

Short version: We can suspend or end access for breach, non-payment, or legal reasons. You can stop any time.

We may suspend or terminate access if you breach these Terms, fail to pay, create risk or legal exposure, or where required by law. You may stop using the Services and cancel paid Services at any time (see Section 6). Sections that by nature should survive (including 8, 10, 11, 13–17) survive termination.

13. Warranty Disclaimer

Short version: The Services are provided "as is," with no guarantees.

To the maximum extent permitted by law, Cordatus and its suppliers and licensors disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

14. Limitation of Liability

Short version: Our liability is capped, and we're not liable for indirect damages — except where the law doesn't allow such limits.

To the maximum extent permitted by law: (a) we are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill; and (b) our total aggregate liability will not exceed the greater of the fees you paid us in the 12 months before the event, or EUR 100. Nothing limits liability that cannot be limited under applicable law (e.g. intent, gross negligence, or death or personal injury caused by negligence).

15. Indemnification

Short version: If your use of the Services causes claims against us, you cover them.

You agree to indemnify and hold harmless Cordatus and its officers, employees, and agents from claims, damages, and expenses (including reasonable legal fees) arising out of your use of the Services, Your Data, your deployment of cameras or AI workloads, or your breach of these Terms or applicable law.

16. Export Controls and Sanctions

Short version: You'll comply with export and sanctions laws.

You represent that your use complies with applicable export-control and sanctions laws (including EU, Dutch, and US laws) and that you are not located in, or acting for anyone in, an embargoed or restricted territory. We may suspend or terminate access on breach.

17. Governing Law and Disputes

Short version: Dutch law applies; disputes go to the courts in Eindhoven, unless mandatory law says otherwise.

These Terms are governed by the laws of the Netherlands, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Disputes are subject to the exclusive jurisdiction of the competent court in the district of Oost-Brabant (Eindhoven), the Netherlands, unless mandatory law provides otherwise (e.g. consumer-protection rules allowing proceedings in your place of residence).

18. Changes to These Terms

Short version: We may update these Terms and will flag material changes.

We may update these Terms from time to time. For material changes, we will post the updated Terms with a new effective date and, where appropriate, notify you by email or an in-dashboard notice. Continued use after changes take effect constitutes acceptance.

19. Miscellaneous

Short version: Standard legal terms — entire agreement, severability, assignment.

These Terms, with the policies referenced here, are the entire agreement between you and Cordatus regarding the Services. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
